Terms of Service

1. Acceptance of Terms

By accessing or using EMBER's services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

EMBER provides a done-for-you restaurant revenue optimization service. This includes:

  • Google Business Profile optimization and management
  • Local SEO and website content management
  • Review monitoring and response across Google, TripAdvisor, Yelp
  • Waste management tracking and operational adjustments
  • Social media content creation and scheduling (Instagram, Facebook)
  • WhatsApp and Email automation for customer response, bookings, and promotions
  • Monthly performance reporting

The Service is delivered through a combination of human oversight and autonomous AI agents operating on EMBER's infrastructure. You are not purchasing software access or a dashboard.

3. User Obligations

You agree to:

  • Provide accurate, complete, and current information during onboarding (restaurant name, location, contact details, WhatsApp number, email)
  • Grant EMBER necessary access to your Google Business Profile, social media accounts, website CMS, and hosting as required to deliver the Service
  • Respond to credential requests within 48 hours of signing up
  • Maintain an active WhatsApp Business number and email for the duration of the agreement
  • Not use the Service for any unlawful purpose or in violation of any platform's terms (Google, Meta, WhatsApp, etc.)
  • Not attempt to reverse-engineer, copy, or replicate EMBER's agent workflows, prompts, or proprietary systems

4. Intellectual Property

EMBER's IP

All agent workflows, prompts, templates, automation logic, reporting formats, and proprietary methodologies remain the exclusive property of EMBER / Andromeda Inc.

Your IP

Content we create for you (website copy, blog posts, social media posts, review responses, audit reports) is owned by you once all fees are paid in full. If you cancel before full payment, EMBER retains ownership of unpaid work.

Client Data

Your restaurant data, customer information, and business metrics remain yours. We process this data only to deliver the Service.

5. Payment and Fees

Monthly Retainer

Fees are billed monthly in advance on the same calendar date each month. Prices are in USD or NGN as selected at signup. Late payments incur a 1.5% monthly charge after 7 days overdue.

Onboarding Setup Fee

A one-time setup fee is due before work begins. This fee is non-refundable once work commences.

Payment Processing

Payments are processed via Flutterwave. By using the Service, you agree to Flutterwave's Terms of Service and Privacy Policy.

Price Changes

EMBER may adjust pricing with 30 days' written notice. Existing clients on annual terms are locked at their current rate for the contract duration.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." EMBER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • SPECIFIC REVENUE OUTCOMES OR GOOGLE RANKING POSITIONS
  • THIRD-PARTY PLATFORM COMPLIANCE (Google, Meta, WhatsApp, etc.)

EMBER manages your digital presence; we do not control Google, Meta, WhatsApp, or customer behavior. Results vary by location, cuisine, competition, and market conditions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • EMBER'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
  • EMBER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • THIS LIMITATION APPLIES REGARDLESS OF LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE)

9. Term and Termination

Minimum Term

All plans have a 3-month minimum commitment. After the initial term, the agreement continues month-to-month.

Termination by You

You may terminate with 30 days' written notice after the minimum term. No refunds on onboarding fees. No pro-rated refunds for partial months.

Termination by EMBER

EMBER may terminate immediately for: non-payment after 14 days overdue; breach of these Terms; providing false information during onboarding; requests that violate platform policies or applicable law.

Effect of Termination

Upon termination: EMBER will transfer all deliverables (website, GBP access, social accounts, content) within 14 days; you remain responsible for fees through the notice period; EMBER retains all proprietary agent workflows, templates, and methodologies.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

EMBER may update these Terms at any time. Continued use of the Service after changes constitutes acceptance. Material changes will be communicated via email at least 14 days before taking effect.
